Terms of Use
Effective date: July 5, 2026
These Terms of Use govern your access to the ParsenLog website and, unless a separate signed agreement applies, your use of the ParsenLog contract intelligence and management Software as a Service (SaaS) platform. If you access ParsenLog under a Master Services Agreement (MSA) with us, that agreement governs your use of the Service and controls in the event of any conflict.
1. Acceptance
By accessing or using the ParsenLog website or the ParsenLog contract intelligence and management Software as a Service (SaaS) platform (together, the “Service”), you agree to these Terms of Use. If you are agreeing on behalf of an organization, you represent that you are authorized to bind that organization. If you do not agree, do not use the Service.
2. Relationship to the MSA
ParsenLog is provided to business customers under a Master Services Agreement and one or more Order Forms. Where such an agreement is in place, it governs the paid Service, including data processing (under our DPA), service levels, fees, warranties, and liability, and it prevails over these Terms to the extent of any conflict. These Terms otherwise apply to your use of the website and any access to the Service.
3. Eligibility & accounts
The Service is for business use by individuals aged 16 or older. Access is invite-only; there is no open sign-up. You are responsible for keeping your credentials confidential and for all activity under your account, and you agree to notify us promptly of any unauthorized use.
4. Acceptable Use Policy (AUP)
You agree that you will not, and will not permit anyone to:
- use the Service in violation of any law or third-party rights, or to process content you lack the rights or consents to submit;
- upload malware, or content that is unlawful, infringing, or harmful;
- attempt to gain unauthorized access to, disrupt, or impair the Service or its infrastructure, or circumvent usage limits or security controls;
- reverse engineer, decompile, or attempt to derive source code, except to the extent this restriction is prohibited by law;
- resell, sublicense, or make the Service available to third parties except as expressly permitted;
- use the Service to build a competing product, or to scrape or harvest data other than your own; or
- use the Service’s output as the sole basis for a legal, financial, or compliance decision without human review (see Section 5).
We may suspend or terminate access for violations of this AUP, consistent with any applicable MSA.
5. Nature of the Service & AI output
ParsenLog uses automated and AI-based extraction to produce structured data from documents. Output is provided to assist your review, is not legal advice, and may contain errors or omissions. You are responsible for verifying output before relying on it. We do not warrant that output will be complete, accurate, or error-free.
6. Intellectual property
The Service, website, and all underlying technology and content (excluding your data) are owned by ParsenLog and its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the website and Service as permitted by these Terms and any applicable MSA. All rights not expressly granted are reserved. As between the parties, you retain ownership of the data you submit.
7. Third-party services
The Service relies on third-party subprocessors, which we disclose on request and name in our data-processing agreement. The website may link to third-party sites we do not control and are not responsible for.
8. Disclaimers
Except as expressly stated in a signed agreement, the website and Service are provided “as is” and “as available,” and we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.
9. Limitation of liability
To the maximum extent permitted by law, ParsenLog will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, revenue, or data. If you use the paid Service under a Master Services Agreement (MSA), the liability terms of that MSA govern and control over this section. For use of the website without an MSA, ParsenLog’s total aggregate liability arising out of or related to these Terms will not exceed CAD 100. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
10. Indemnification
You agree to indemnify and hold ParsenLog harmless from claims arising out of your content or your breach of these Terms or the AUP, except to the extent prohibited by law or superseded by a signed MSA.
11. Termination
We may suspend or terminate your access to the website or Service if you breach these Terms or the AUP. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.
12. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflicts-of-law rules, and the parties submit to the exclusive jurisdiction of the courts of the Province of Ontario.
13. Changes
We may update these Terms from time to time. We will post the updated version here and revise the effective date above. Continued use after a change constitutes acceptance.
